Terms of Service

1) Who we are

These Terms of Service (the “Terms”) govern your access to and use of the ExoQuery Playground (the “Service”). The Service is operated by ExoQuery, LLC, a Pennsylvania limited liability company with its principal place of business at 502 W 7th ST STE 100, Erie, PA 16502 USA (“ExoQuery,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2) What the Service does

The ExoQuery Playground is a developer demo tool that lets you enter Kotlin code and run it in a sandboxed environment to evaluate the ExoQuery library. The Service is intended for educational and demonstration purposes only. It is not a production compute platform, code hosting service, or data storage service.

The Service is currently provided free of charge as a developer demo. We may introduce paid plans or additional services in the future. If we do, we will describe any associated fees separately and may update these Terms.

3) Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and the age of majority in your jurisdiction, you may use the Service only with the consent of a parent or legal guardian. The Service is not directed to children under 13.

4) Your content & license to us

You may submit code, text, or other materials (collectively, “User Content”). You retain ownership of your User Content. Solely for operating, protecting, analyzing, improving, and providing the Service, you grant ExoQuery a non-exclusive, worldwide, royalty-free license to host, run, process, display, and create ephemeral copies of your User Content.

We may generate aggregated or de-identified information about use of the Service (for example, total number of requests, average execution times, or popular ExoQuery features). ExoQuery may use this aggregated or de-identified information for any lawful purpose, including analytics, benchmarking, and marketing, provided that it does not identify you personally or disclose your specific code.

You are responsible for your User Content, including ensuring that it does not infringe any third-party rights or contain unlawful material. Do not submit any secrets, credentials, production data, or personal data (including personal data of others). The Service may log execution metadata (e.g., timestamps, resource usage) and code snippets for debugging, abuse prevention, and analytics per our Privacy Policy.

5) Acceptable Use Policy (AUP)

You agree you will not:

  • Use the Service to mine cryptocurrency, send spam, or run denial-of-service attacks.
  • Probe, scan, or test the vulnerability of any system or network without explicit written authorization.
  • Upload or execute malware or code intended to harm or exfiltrate data.
  • Circumvent, disable, or interfere with security-related features or resource limits.
  • Infringe intellectual-property or privacy rights, or violate any law or regulation.
  • Misrepresent affiliation, impersonate others, or imply endorsement by JetBrains, Kotlin Foundation, or any third party.

We may rate-limit, throttle, suspend, or terminate your access at any time to protect the Service or others.

6) Accounts

The Service may be used without an account or with an account (if offered). If accounts are offered, you are responsible for maintaining the confidentiality of your credentials and for activities under your account.

7) Intellectual property; open-source notices

Except for User Content and third-party components, the Service and its content, including the ExoQuery Playground website, user interface, and backend code, are owned by ExoQuery or its licensors and are protected by intellectual-property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose, and you may not copy, modify, distribute, or create derivative works from the Service or its software except as expressly permitted by us in writing.

The core ExoQuery library is provided under the Apache License 2.0 (see the LICENSE file in the ExoQuery repository). That open-source license applies only to the library and any other components we specifically designate as open source, and does not grant you any rights in the proprietary ExoQuery Playground website or backend.

8) Feedback

If you provide feedback or suggestions, you grant us a perpetual, irrevocable license to use it without restriction or compensation.

9) Third-party services

The Service may rely on third-party providers (e.g., hosting, logging, analytics). Your use of third-party services may be subject to their own terms.

10) Export controls & sanctions

You may not use the Service if you are located in, or are a resident of, a country or region embargoed by the U.S. or if you are on any U.S. government restricted party list. You agree to comply with applicable export-control and sanctions laws.

11) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXOQUERY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUTS WILL BE CORRECT OR SUITABLE FOR PRODUCTION USE.

12) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXOQUERY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EXOQUERY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS EXCEED THE AMOUNTS YOU PAID TO US (IF ANY) FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM. AS OF THE EFFECTIVE DATE, THE SERVICE IS PROVIDED FREE OF CHARGE, SO SUCH AMOUNTS ARE ZERO.

13) Indemnification

You will indemnify and hold harmless ExoQuery and its affiliates, officers, agents, and employees from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.

14) Termination

You may stop using the Service at any time. We may suspend or terminate the Service or your access at any time for any reason. Sections that by their nature should survive termination shall survive (including ownership, disclaimers, limitations, and indemnity).

15) Changes to the Service or Terms

We are always working to improve the ExoQuery Playground, so the Service may change over time. We may add, modify, or remove features, impose or change limits, or stop providing the Service (in whole or in part) at any time.

We may also update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the “Last updated” date above. For changes that materially affect your rights or obligations, we will take reasonable steps to notify you (for example, by displaying a notice in the Service or sending an email if we have your address).

Unless a different effective date is stated in the notice, the updated Terms will take effect when posted. If you do not agree to the updated Terms, you should stop using the Service. Your continued use of the Service after the updated Terms become effective will mean that you accept and agree to them.

16) Governing law; venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict-of-law principles. You and ExoQuery agree to submit to the exclusive jurisdiction and venue of the courts located in Erie County, Pennsylvania for any dispute not subject to arbitration.

17) DMCA; repeat-infringer policy

We respect intellectual property rights. We respond to notices meeting 17 U.S.C. §512(c)(3). We may terminate repeat infringers in appropriate circumstances. See our DMCA Policy for instructions and our designated agent.
